Terms of engagement

These terms apply to advisory and audit services offered by SmartConnect API Audit through smartconnectapis.digital. By requesting or purchasing an audit, you accept these terms.

Services

We provide human review and written commentary on application materials you supply. Audits are advisory. They do not constitute legal advice, admissions decisions, or guarantees of acceptance, award, or credential approval.

Client responsibilities

You confirm that materials you share are yours to disclose, that factual claims in drafts are accurate to your knowledge, and that you will not rely on our comments as a substitute for program rules or official instructions.

Intellectual property

You retain ownership of your drafts and final applications. Audit memos and annotated comments we create remain our intellectual property; you receive a personal license to use them for preparing your own submissions. You may not redistribute our memos as commercial products.

Fees and scheduling

Written estimates describe scope and fees. Work begins when agreed deposits or prepaid fees are received. Missed clarification calls without twenty-four hours’ notice may forfeit that session.

Limitation of liability

To the fullest extent permitted under applicable law, our liability for any claim arising from an audit is limited to the fees you paid for that engagement. We are not liable for admissions outcomes, lost opportunities, or consequential damages.

Governing law

These terms are governed by the laws of Japan. Disputes shall be subject to the exclusive jurisdiction of the courts competent for 沖縄県, Japan, unless mandatory consumer protections require otherwise.
